Victoria Hadlow
Victoria is part of our national Corporate & Commercial Team.

She has previously worked at another leading New Zealand law firm, as well as at the New Zealand Mission to the United Nations in New York, in the field of diplomacy and international relations.

She holds a conjoint Bachelor of Laws (with Honours) and Bachelor of Arts (majoring in Management) from the University of Auckland, as well as a Postgraduate Diploma in Business Administration from Massey University.

Victoria focuses on domestic and cross border mergers and acquisitions, private equity investments, startups and growth stage businesses, joint venture arrangements, capital raisings, and general corporate and commercial advisory work.

  • The following are examples of Victoria's domestic and international legal work whilst at Wynn Williams and other firms:
  • Advising HW Richardson on its acquisition of a 50% stake in Dynes Transport and the sale of its Southern Logging and Farmers Transport businesses into the merged group.
  • Advising Midwich Group PLC, an AIM listed global IT and AV products distributor, on its acquisition of Wired.
  • Advising Buy Right Cars Group, a major motor vehicle importer and dealer network, on its sale to NZX listed Turners.
  • Acting for Unfiltered, New Zealand's premier business education platform.
  • Advising National Australia Bank in relation to a $5.5 billion rights offer to retail investors in New Zealand.
  • Advising BNZ in relation to its obligations under New Zealand securities law.
  • Advising Spark New Zealand, on its sale of its international phone call business to Australian Company, My Net Fone.
  • Advising various overseas companies on investing in New Zealand, under the Overseas Investment Act 2005 regime.
  • Advising Heartland Bank on their acquisition of Sentinel, New Zealand's biggest provider of reverse equity mortgages, and its Australian counterpart, Australian Senior's Finance.
  • Advising Perpetual Group in relation to various fund-related issues.
  • Advising Genesis Energy and Meridian Energy in relation to their IPOs, as part of the New Zealand Government's mixed ownership programme.
  • Advising the Board of Kiwi Income Property Trust on the internalisation of its management from Commonwealth Bank of Australia.
  • Advising Spark New Zealand in relation to directors' duties and corporate governance issues.
  • Advising fund managers and various banks in relation to the changes in the FMCA and FMC Regulations.
  • Advising various listed clients in relation to NZX listing rules and listing rule issues.
  • Advising various listed and unlisted fund managers and corporate clients in relation to their unit trusts, employee share schemes, superannuation funds, and other offer documents.
