The FMCA requires various market participants to be licensed, depending on the nature of their activities. The licence application process can be complex and time consuming for businesses, and we will work with you to achieve an efficient process and maximise your chances of a successful application.

  • Crowdfunding
If you act as an intermediary between companies issuing shares and investors buying shares by providing the facility (such as a website), you will generally be providing a crowdfunding service.
You will need a licence to act as that licensed intermediary.
  • Peer to peer lending
If you act as an lending service intermediary between borrowers and lenders, where the loan is for personal, charitable or small business purposes, you will generally be providing a peer to peer lending service.
You will need a licence to act as that licensed intermediary.
  • Derivatives Issuer licences
If you make a regulated offer of derivatives to any New Zealand resident, you will require a licence under the FMCA.
  • Managed Investment Scheme (MIS) licences
A MIS pools money from a number of investors, who rely on the investment expertise of a MIS manager.
A licence is required by the appointed or designated manager of a non-restricted and registered MIS.
  • DIMS licences
You will generally be providing DIMS when an investor gives you the authority to make decisions about buying and selling financial products on their behalf.
Under the FMCA, you must have a licence to provide DIMS.
  • Market Operator Licences
If you operate a financial product market, where financial products are bought or sold, or where offers or invitations to buy or sell financial products are made, you will generally need a licence.
The Minister of Commerce and Consumer Affairs issues financial product market licences, with advice from the Financial Markets Authority.
